These Terms of Use (“Terms”) govern access to and use of TechStrata’s public website, public content, public demonstrations, public AI-agent experiences, and other publicly available digital features operated by TechStrata LLC, doing business as TechStrata (“TechStrata,” “we,” “us,” or “our”) (collectively, the “Public Services”).
TechStrata provides enterprise AI workforce and systems services, including ORiele, TechStrata’s AI Workforce Execution Platform. Paid, private, customer-deployed, or enterprise services are generally governed by a separate written agreement with the customer. These Terms do not replace a master services agreement, subscription agreement, order form, Data Processing Addendum, Business Associate Agreement, statement of work, or other written agreement that governs a customer’s use of TechStrata products or services.
If a separate written agreement between TechStrata and you or your organization conflicts with these Terms, the separate written agreement controls for the services covered by that agreement.
1. Acceptance of These Terms
By accessing or using the Public Services, you agree to these Terms and to the TechStrata Privacy Notice. If you do not agree, do not use the Public Services.
If you use the Public Services on behalf of a company or other organization, you represent that you have authority to act for that organization and to bind it to these Terms where applicable.
2. Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Public Services independently. The Public Services are primarily intended for business and professional use.
3. TechStrata and ORiele
TechStrata is an enterprise AI workforce and systems company. ORiele is TechStrata’s AI Workforce Execution Platform.
ORiele is not limited to voice or chat. Depending on configuration, ORiele AI workforce units may operate across voice, messaging, web, forms, system events, APIs, and connected business applications. They may receive a request or trigger, retrieve authorized context, apply approved knowledge and business rules, collect missing information, route work, execute permitted workflow steps, create or update records, schedule or book actions, generate communications, create tasks or tickets, escalate exceptions, and record operational outcomes.
Public demonstrations may illustrate only a subset of those capabilities and may use limited, sample, simulated, or demonstration-specific configurations.
4. Public Services Versus Customer Deployments
These Terms govern the Public Services used to learn about, evaluate, or interact with TechStrata.
A production deployment of ORiele or another TechStrata service for a business customer is governed by the applicable customer agreement. Customer agreements may contain different or additional terms concerning service levels, security, privacy, data processing, confidentiality, warranties, indemnification, regulated workloads, support, acceptable use, retention, and liability.
If you interact with an ORiele agent deployed by a TechStrata customer, the customer’s terms, privacy notice, notices, business rules, and communications practices may also apply. TechStrata provides the technology and processes data on the customer’s behalf as described in the applicable agreement.
5. Permitted Use
You may use the Public Services only for lawful purposes and in accordance with these Terms.
Subject to these Terms, TechStrata grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Public Services for personal evaluation, internal business evaluation, informational purposes, or legitimate business engagement with TechStrata.
6. Prohibited Conduct
You may not use the Public Services to:
- violate any applicable law, regulation, court order, or legal right;
- commit fraud, deception, impersonation, harassment, abuse, or unlawful discrimination;
- threaten, exploit, or harm any person;
- transmit malware, malicious code, or harmful payloads;
- probe, scan, test, circumvent, or exploit security controls without authorization;
- gain unauthorized access to systems, accounts, credentials, integrations, data, or administrative functions;
- interfere with, overload, degrade, disrupt, or reverse engineer the Public Services except to the extent a restriction is prohibited by law;
- scrape, crawl, harvest, benchmark, extract, or systematically collect content, data, outputs, or technical information through automated means without written authorization;
- attempt to extract system prompts, non-public instructions, model internals, confidential architecture, credentials, or protected security information;
- use the Public Services to infringe intellectual property, privacy, publicity, confidentiality, or other rights;
- submit personal information about another person without lawful authority;
- use public demonstrations to process regulated, highly sensitive, or confidential information unless TechStrata has expressly designated the experience for that purpose;
- use the Public Services to make unlawful automated decisions or to evade legally required human review;
- use AI-generated content or actions to mislead a person about a material fact where disclosure is legally required; or
- use the Public Services to develop, facilitate, or operate unlawful, malicious, or abusive systems.
TechStrata may investigate suspected misuse and may restrict, suspend, or terminate access where reasonably necessary to protect the Services, TechStrata, customers, users, or third parties.
7. AI Systems, Outputs, and Operational Actions
AI Disclosure
Some Public Services allow you to interact with an artificial intelligence system. When you interact with an AI agent, you should expect automated responses and automated processing.
Probabilistic Outputs
AI systems may generate incomplete, inaccurate, unexpected, or context-dependent output. Public demonstrations are provided for evaluation and informational purposes. You are responsible for evaluating information before relying on it for a material business, legal, medical, financial, employment, safety, or other consequential decision.
Operational Actions
ORiele is designed to execute configured work, not merely generate text. In production customer deployments, an agent may be authorized to perform actions in connected systems. Those permissions, actions, approval requirements, business rules, and human-review boundaries are determined by the customer’s configuration and written agreement.
Public Services do not authorize you to cause an agent to access, modify, transmit, or act upon data or systems for which you do not have permission.
High-Impact and Professional Decisions
Public Services are not a substitute for licensed professional judgment and are not intended to be the sole basis for decisions that determine a person’s legal rights, access to essential services, clinical treatment, employment status, credit, insurance eligibility, or other similarly significant interests.
Customer deployments that support regulated or high-impact workflows must be configured and operated in accordance with applicable law, the customer’s policies, and any required human oversight.
No Emergency Use
Unless TechStrata expressly states otherwise in a written customer agreement, the Public Services are not emergency-response services and should not be relied upon for emergency communications, dispatch, diagnosis, or other time-critical life-safety functions.
8. Voice, Telephone, Messaging, and Recording
TechStrata may provide voice, telephone, SMS, chat, or other communications features as part of the Public Services.
Where recording, transcription, monitoring, or automated communications are used, applicable disclosures may be provided through the interface, call flow, message, or other interaction notice. If you do not consent to a recording after receiving notice, do not continue through a recorded channel.
For customer-deployed communications, the customer is responsible for determining that it has lawful authority to contact recipients, use the selected communications channel, use automated or AI-generated voice where applicable, record or transcribe communications, and provide required identification, disclosures, consent mechanisms, and opt-out methods.
Customers are also responsible for the lawfulness and quality of contact lists, campaign instructions, business purposes, and message content they direct TechStrata to process.
Nothing in the Public Services grants permission to make a call or send a message where consent or another legal basis is required.
9. Information You Submit
You are responsible for information, instructions, files, messages, or other content you submit through the Public Services (“User Content”).
You represent that you have all rights, permissions, notices, and legal bases necessary to provide User Content to TechStrata for the purpose of the interaction.
You retain ownership of User Content. You grant TechStrata a limited right to host, process, transmit, reproduce, and otherwise use User Content only as reasonably necessary to provide, secure, operate, support, and improve the Public Services, comply with law, and enforce these Terms, subject to the Privacy Notice.
Do not submit trade secrets, regulated data, credentials, privileged information, or other highly sensitive information through a public demonstration unless TechStrata expressly authorizes that use.
10. Third-Party Systems, Integrations, and Services
TechStrata products may connect to third-party systems such as CRM, helpdesk, scheduling, commerce, communications, hospitality, healthcare, analytics, database, productivity, or other operational platforms.
Third-party services are not controlled by TechStrata. Their availability, functionality, security, data practices, and terms are governed by the applicable third party.
If you or a customer authorize an integration, you are responsible for having the right to connect the system, provide the relevant credentials or authorization, permit the requested processing, and instruct TechStrata to retrieve, transmit, create, modify, or otherwise process the applicable data.
TechStrata is not responsible for a third party’s independent acts, omissions, outages, changes, data practices, or service restrictions, except to the extent expressly stated in a written agreement.
11. Security, Compliance, and Regulated Use
TechStrata maintains a security program designed to protect the confidentiality, integrity, and availability of systems and data within TechStrata’s control. Security measures and compliance commitments applicable to a customer deployment are governed by the relevant customer agreement and TechStrata security or compliance documentation.
TechStrata maintains a SOC 2 report covering systems and controls within the scope identified in that report. A SOC 2 report is an assurance report concerning controls and does not eliminate the need for customers to evaluate their own configuration, responsibilities, connected systems, and use case.
For eligible healthcare deployments, TechStrata supports HIPAA-regulated use and enters into an applicable Business Associate Agreement where TechStrata acts as a business associate and the parties agree to process PHI. Public demonstrations are not HIPAA-eligible merely because TechStrata supports HIPAA-regulated customer deployments.
Customers remain responsible for determining whether their use of TechStrata services is lawful and compliant, selecting eligible configurations, implementing required administrative and technical safeguards within their own environment, controlling user permissions, providing lawful notices and consents, and maintaining appropriate human review and governance.
12. Intellectual Property
The Public Services, including software, code, models and orchestration components to the extent owned by TechStrata, workflows, user interfaces, documentation, text, graphics, designs, logos, videos, audio, trademarks, service marks, and other TechStrata materials, are owned by TechStrata or its licensors and are protected by intellectual-property and other laws.
Except for the limited right to use the Public Services under these Terms, no right, title, or interest in TechStrata intellectual property is transferred to you.
You may not copy, distribute, publicly display, modify, sell, sublicense, create derivative works from, or commercially exploit TechStrata materials except as authorized in writing or permitted by law.
Names, logos, and marks belonging to third parties remain the property of their respective owners.
13. Feedback
If you voluntarily provide suggestions, ideas, recommendations, or other feedback about TechStrata or the Public Services, you grant TechStrata a worldwide, perpetual, irrevocable, royalty-free right to use that feedback for any lawful purpose without restriction or compensation.
Do not submit feedback that you consider confidential unless TechStrata has agreed in writing to receive it as confidential information.
14. Privacy and Data Protection
TechStrata’s Privacy Notice explains how TechStrata processes personal information when acting for itself and describes, at a high level, how TechStrata handles Customer Data when acting for customers.
Customer Data processed in a production deployment may be subject to a separate DPA, BAA, security addendum, or other customer agreement.
By using the Public Services, you acknowledge the processing described in the Privacy Notice. Consent is relied upon only where consent is the appropriate legal basis and where required by applicable law.
15. Suspension and Termination
TechStrata may suspend, restrict, or terminate access to the Public Services if:
- you violate these Terms;
- your activity creates a security, legal, operational, or reputational risk;
- your use threatens the integrity or availability of the Public Services;
- TechStrata is required to do so by law or a lawful authority; or
- TechStrata discontinues a Public Service.
You may stop using the Public Services at any time.
Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and general provisions, survive termination.
16. Disclaimers
To the fullest extent permitted by applicable law, the Public Services are provided on an “as is” and “as available” basis.
Except where TechStrata expressly provides otherwise in a written agreement, TechStrata disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing or usage of trade.
TechStrata does not guarantee that the Public Services will be uninterrupted or error-free, or that AI-generated content will always be accurate, complete, current, or suitable for every particular use. Users remain responsible for evaluating information and outcomes generated through the Public Services in light of their own circumstances and requirements.
These public-facing disclaimers do not define the commitments applicable to paid or customer-deployed TechStrata or ORiele services. Any service level, security commitment, warranty, data-protection obligation, availability commitment, support obligation, or other production-service commitment is governed by the applicable written agreement between TechStrata and the customer.
Some jurisdictions do not permit certain warranty exclusions or limitations. In those jurisdictions, the exclusions above apply only to the extent permitted by law.
17. Limitation of Liability
To the maximum extent permitted by applicable law, TechStrata and its affiliates, officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Public Services or these Terms, including loss of profits, revenue, business opportunity, goodwill, or data, even where the possibility of such damages was known or reasonably foreseeable.
For claims arising solely from the Public Services governed by these Terms, TechStrata’s total aggregate liability will not exceed the greater of:
- US $100; or
- the amount, if any, paid directly to TechStrata for the specific Public Service giving rise to the claim during the twelve months preceding the event giving rise to liability.
These limitations do not apply to any liability that cannot lawfully be excluded or limited.
These Terms govern public website, informational, demonstration, and other publicly available services. Liability, remedies, service commitments, security obligations, and risk allocation for paid or customer-deployed TechStrata and ORiele services are governed by the applicable written customer agreement.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless TechStrata and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, losses, and reasonable costs arising out of or relating to:
- your unlawful or unauthorized use of the Public Services;
- your violation of these Terms;
- User Content you submit without sufficient rights or authority; or
- your infringement or violation of a third party’s intellectual-property, privacy, confidentiality, or other rights.
TechStrata may control the defense of a matter subject to indemnification, and you agree to provide reasonable cooperation. You may not settle a claim in a manner that admits liability by or imposes obligations on TechStrata without TechStrata’s written consent.
19. Export Controls and Sanctions
You may not use, export, re-export, transfer, or make available the Public Services in violation of applicable export-control, sanctions, or trade laws.
You represent that you are not prohibited from using the Public Services under applicable sanctions or export-control laws and that you will not use the Public Services for a prohibited end use or on behalf of a prohibited person or entity.
20. Changes to the Public Services or These Terms
TechStrata may modify, suspend, or discontinue any Public Service and may update these Terms from time to time.
When these Terms are updated, TechStrata will revise the “Last Updated” date. Material changes will be handled as required by applicable law. Continued use of the Public Services after updated Terms become effective constitutes acceptance of the updated Terms where legally permitted.
21. Governing Law and Venue
These Terms and disputes relating to the Public Services are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
To the extent permitted by law, any legal action arising from these Terms or the Public Services will be brought in the state or federal courts located in Orange County, California, and you consent to personal jurisdiction and venue in those courts.
TechStrata may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, systems, or security interests.
22. General Terms
Entire Agreement for the Public Services
These Terms and the Privacy Notice constitute the agreement governing the Public Services unless a separate written agreement applies.
Order of Precedence
For a paid or customer-deployed service, the applicable signed agreement, order form, DPA, BAA, statement of work, or other product-specific written terms control over these Terms to the extent of a conflict.
Assignment
You may not assign these Terms without TechStrata’s prior written consent. TechStrata may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all relevant assets, or to an affiliate, subject to applicable law.
Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be enforced to the maximum extent permitted by law.
No Waiver
Failure to enforce a provision is not a waiver of the right to enforce it later.
No Third-Party Beneficiaries
These Terms do not create rights for third parties except as expressly stated.
Headings
Headings are for convenience only and do not affect interpretation.
23. Communications, Consent, and Communication Preferences
TechStrata and ORiele may support communications through telephone calls, email, SMS, web messaging, AI-agent interfaces, and other supported channels. Depending on the context, these communications may be initiated by a user, by TechStrata, or by an ORiele agent operating under an authorized customer workflow.
Where consent, authorization, identification, disclosure, recording notice, or another communication requirement applies, TechStrata and its customers must use the relevant communication capability in accordance with applicable law and the purpose for which the communication is made.
You may communicate a valid request to stop, limit, or change promotional communications through ordinary language during an interaction, through an available unsubscribe or preference mechanism, or by contacting TechStrata. TechStrata systems may maintain communication preferences, suppression instructions, channel preferences, consent status, and related records so those requests can be respected across applicable future interactions. No particular wording is required except where a specific law, carrier, provider, or technical standard requires a designated mechanism.
Opting out of promotional communications does not prevent TechStrata from sending communications reasonably necessary to respond to your request, provide or administer a service, deliver a requested transaction or notification, address security or legal matters, or otherwise communicate where permitted by law.
For ORiele deployments operated on behalf of a business customer, that customer is responsible for determining whom its agents may contact, the lawful basis or consent required for the communication, the purpose and content of the workflow, and any required disclosures or restrictions. ORiele may enforce customer-configured communication rules, consent state, suppression lists, channel preferences, escalation requirements, and other controls as part of the execution workflow.
TechStrata does not sell communication opt-in information or consent records for third-party independent marketing.
This reflects the actual product better: the user expresses intent; the agent understands it; the platform records and enforces it. Standard technical mechanisms can remain supported underneath without defining the experience as a primitive keyword bot.
